Does the Texas Secretary of State
issue or apostille Certificates of
Good Standing?


No, they do not.

The Texas Secretary of State no longer issues Certificate of Good Standing documents so they can’t issue apostille certificates on them.

“Although the comptroller’s office no longer uses the term, “certificate of good standing” is sometimes used to refer to a certificate issued by the Texas Comptroller of Public Accounts regarding an entity’s franchise tax account status.”

Certificates of account status are often confused with a Certificate of Fact – status issued by the Secretary of State. A “Certificate of Fact – status” is a certificate issued by the Secretary of State that serves as official evidence of an entity’s existence or authority to transact business in Texas. A Certificate of Fact – status provides a statement of an entity’s status, as well as the entity’s current legal name and date of formation or registration.”

In summary, as a substitute to apostille a Certificate of Good Standing document you and your company can request a tax account status document from the Texas Comptrollers’ office and/or order a Certificate of Fact from the Texas Secretary of State on the current corporate standing status.
